1. Acceptance and eligibility

These Terms of Service ("Terms") are an agreement between you and TasquerAI Private Limited, a company incorporated in India (CIN U62090KA2025PTC207181) with its registered office at No. 472/7, Balaji Arcade, A.V.S. Layout, Ejipura, Bangalore South, Bengaluru, Karnataka – 560095, India ("Tasquer", "we", "us" or "our"). They govern your access to and use of the Services.

By accessing or using the Services, or by clicking to accept these Terms, you agree to them. If you use the Services on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" and "Customer" refer to that organisation. If you do not agree, do not use the Services.

The Platform is for business use only. You must be at least 18 years old and able to form a binding contract under applicable law.

If your organisation has signed a master services agreement, order form or other written agreement with Tasquer (a "Signed Agreement"), that Signed Agreement prevails over these Terms where they conflict. These Terms apply to anything the Signed Agreement does not address.

2. Definitions

  • "Services" means the website at www.tasquer.ai (the "Website") and the Tasquer platform, applications, AI agents and APIs available on tasquer.ai sub-domains (the "Platform").
  • "Customer Data" means data, content and materials that you or your Users upload to, connect with or create in the Platform, including campaign briefs and creative assets.
  • "Ad Platform" means a third-party advertising service you connect to the Platform, such as Google Ads or Meta (Facebook and Instagram) advertising.
  • "Output" means content the Platform generates for you, including forecasts, recommendations, campaign plans and ad copy.
  • "Order Form" means an order, quotation, statement of work or Signed Agreement that sets out the Services you buy and their fees.
  • "User" means an individual you authorise to use the Platform under your account.

3. The Services

Tasquer provides AI-powered software for forecasting and inventory planning, financial workflow automation, and planning, deploying and monitoring advertising campaigns, together with related agents and integrations. Subject to these Terms and any Order Form, we grant you a non-exclusive, non-transferable, non-sublicensable right during your subscription to access and use the Platform for your internal business purposes.

We may improve, change or discontinue features from time to time. We will not materially reduce the core functionality of a paid subscription during its current term. Features labelled beta, preview or trial are provided "as is", may change or end at any time, and are excluded from any service-level commitment.

Pilots. Pilot or evaluation access is governed by these Terms and by any pilot agreement with you. It is provided "as is", without any service-level commitment. Unless you subscribe, we delete the pilot data 30 days after the pilot ends, so export anything you need before then.

4. Accounts and security

  • You must give accurate account information and keep it up to date.
  • You are responsible for your Users, for keeping sign-in credentials confidential, and for all activity under your account.
  • Tell us promptly at info@tasquer.ai if you suspect unauthorised access to your account.
  • We may suspend access to protect the Services or other customers, for example if an account is compromised or used in breach of these Terms. Where reasonably possible, we will tell you first.
  • Administrators. Your administrators can add and remove Users, assign roles and change settings for your organisation, and you are responsible for their actions. If you lose administrator access, we may restore it to a person who gives us reasonable proof of their authority to act for your organisation. We are not liable for restoring access in good faith.
  • Communications. Service announcements and administrative messages, such as security notices and changes to these Terms, are part of the Services. You cannot opt out of them while you have an account.

5. Connected advertising platforms

5.1 Your authorisation

When you connect an Ad Platform account, you authorise Tasquer to access it and act on your behalf, within the permissions you grant, to:

  • list the advertising accounts, Pages and assets available to you;
  • create campaigns, budgets, ad groups or ad sets, keywords, ads, lead forms and creative assets that you have planned in the Platform;
  • activate, pause or resume campaigns and change their budgets when you instruct us to; and
  • retrieve performance and reporting data for those campaigns.

New campaigns are created in a paused state. They go live only when you, or a User you authorise, approve them in the Platform. You can withdraw this authorisation at any time by disconnecting the Ad Platform in the Platform or by revoking Tasquer's access in the Ad Platform's own settings.

5.2 Your responsibilities

  • You confirm that you own, or are authorised by the owner to manage, every advertising account, Page and asset you connect.
  • Your relationship with each Ad Platform is governed by that platform's own terms and policies, for example the Google Ads policies, the Google Ads terms and conditions, the Meta Terms of Service and the Meta Advertising Standards. You must comply with them.
  • Ad spend. Advertising charges are billed to you directly by the Ad Platform under your agreement with it. You are solely responsible for all ad spend, including spend arising from budgets and campaigns you approve through the Platform. Tasquer does not pay ad spend on your behalf, and our fees do not include it.
  • Review budgets, schedules, targeting and creatives before you approve a campaign, and monitor campaigns while they run.

5.3 Ad Platform limitations

Ad Platforms are independent third parties. Tasquer does not control them and is not responsible for:

  • their availability, policy decisions, ad approvals or rejections, or account suspensions;
  • changes to their APIs or features; or
  • how they deliver, measure or bill advertising.

If an Ad Platform restricts or ends our access to its API, the related features may become unavailable.

6. AI-generated content

  • Outputs are generated by AI models and may be inaccurate, incomplete or unsuitable for your purposes. Similar inputs may produce different Outputs for different customers.
  • You are responsible for reviewing Outputs and deciding whether to rely on or publish them. Forecasts and recommendations are decision-support tools, not financial, legal, tax or investment advice.
  • You are responsible for ensuring that ads published through the Platform are lawful, truthful and not misleading, that you have the rights to all text, images, trademarks and other materials they use, and that they comply with advertising laws and Ad Platform rules. This includes rules for special ad categories such as housing, employment, credit and political or social issues.
  • As between you and Tasquer, and to the extent permitted by law, you own the Outputs generated for you, subject to your compliance with these Terms.

7. Customer Data

  • You keep all rights in your Customer Data.
  • You grant Tasquer a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Customer Data only as needed to provide, secure and support the Services, and as otherwise instructed by you. We will not use Customer Data for our own marketing without your permission.
  • You confirm that you have all rights, notices and consents needed for us to process Customer Data as described in these Terms. This includes personal data of your own customers, vendors and staff.
  • We handle personal data as described in our Privacy Policy. Where we process personal data on your behalf, we act as your processor. A Data Processing Agreement is available on request and forms part of these Terms once signed.
  • We may generate aggregated, de-identified statistics about use of the Services, which do not identify you or any individual, to operate and improve the Services. Data received from Google APIs is used only as described in the Privacy Policy.

8. Acceptable use

You must not, and must not allow anyone else to:

  • use the Services in breach of any law, or to create, promote or distribute ads or content that are unlawful, fraudulent, deceptive, discriminatory, infringing, defamatory, obscene or harmful;
  • create, host or share content that is prohibited under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This includes content that threatens the unity, integrity, defence, security or sovereignty of India, its friendly relations with foreign states or public order; is obscene, pornographic or harmful to children; impersonates another person; or knowingly communicates false or misleading information;
  • send spam, unsolicited bulk messages or phishing communications through the Services;
  • connect advertising accounts you are not authorised to manage, or circumvent Ad Platform policies, reviews or enforcement;
  • upload malware, or interfere with or disrupt the integrity, security or performance of the Services;
  • attempt to gain unauthorised access to the Services, other accounts or related systems, or probe or scan them for vulnerabilities without our written permission;
  • reverse engineer, decompile or copy the Platform, except to the extent the law expressly permits;
  • resell, sublicense or provide the Services to third parties, except as an Order Form allows; or
  • use the Services or Outputs to build a competing product, or to train AI models that compete with the Services.

9. Fees and taxes

  • You will pay the fees in your Order Form, by the payment terms stated there. Unless the Order Form says otherwise, fees are non-refundable and invoices are due within 30 days.
  • Fees exclude taxes. You are responsible for applicable taxes, including Goods and Services Tax (GST), other than taxes on our income.
  • We may suspend the Services if undisputed fees are more than 30 days overdue, after giving you at least 10 days' written notice.
  • Ad spend is separate from our fees and is governed by section 5.2.

10. Intellectual property and feedback

Tasquer and its licensors own all rights in the Services, including the software, AI agents, models, workflows, documentation, trademarks and logos, and all improvements to them. Apart from the rights expressly granted in these Terms, no rights are transferred to you. If you give us suggestions or feedback, we may use them without restriction or obligation to you.

11. Confidentiality

Each party will keep confidential the non-public information the other party discloses that is marked confidential or would reasonably be understood to be confidential. This includes Customer Data and the Platform's non-public features and pricing. Each party will use such information only to perform under these Terms and will protect it with at least reasonable care. This duty does not apply to information that is or becomes public through no fault of the recipient, that the recipient already knew, that it independently developed, or that it lawfully received from a third party. A party may disclose confidential information where required by law, after giving the other party prompt notice where legally permitted.

12. Third-party services

The Services may interoperate with third-party products, such as Ad Platforms, ERPs, accounting systems, marketplaces and cloud storage. Your use of them is governed by their own terms. We are not responsible for third-party products, and do not warrant them, even if we enable you to connect them.

13. Disclaimers

Except as expressly stated in these Terms or a Signed Agreement, the Services and Outputs are provided "as is" and "as available". To the fullest extent permitted by law, Tasquer disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy.

We do not guarantee:

  • any advertising result, such as reach, clicks, leads, conversions, cost per result or return on ad spend;
  • the accuracy of any forecast; or
  • that the Services will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent permitted by law:

  • Neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, however caused, even if advised of the possibility.
  • Tasquer is not liable for ad spend incurred on campaigns approved by you or your Users, or for the actions or omissions of any Ad Platform.
  • Each party's total liability arising out of or relating to these Terms will not exceed the fees you paid to Tasquer for the Services in the 12 months before the event giving rise to the liability. If you use the Services free of charge, the limit is INR 10,000.
  • These limits do not apply to your payment obligations, to either party's indemnification obligations, to breach of section 8 (Acceptable use), or to liability that cannot be limited by law, including liability for fraud or wilful misconduct.

15. Indemnification

You will defend, indemnify and hold harmless Tasquer and its directors, employees and agents against third-party claims, and the resulting losses, damages, fines and reasonable legal costs, arising from:

  • your Customer Data;
  • ads or other content published through the Services at your direction;
  • your breach of these Terms or of an Ad Platform's terms or policies; or
  • your violation of law.

Tasquer will defend you against third-party claims alleging that the Platform, as provided by us, infringes that party's intellectual property rights, and will pay the resulting damages and costs finally awarded. This obligation does not apply to claims caused by Customer Data, Outputs you modify, third-party products, or use of the Platform in breach of these Terms.

The party seeking indemnity must notify the other promptly, give it control of the defence and settlement, and provide reasonable cooperation.

16. Term and termination

  • These Terms apply while you use the Services. Paid subscriptions run for the term in your Order Form.
  • You may stop using the Services at any time. Fees already due remain payable.
  • Either party may terminate for material breach if the other party does not cure it within 30 days of written notice. We may suspend or terminate immediately where needed to comply with law or an Ad Platform's requirements, or to prevent serious harm.
  • If we suspend your account, you may object within 15 days of our notice by emailing info@tasquer.ai. We will consider your objection before we terminate. This does not apply where we must act immediately under the previous point.
  • On termination, your right to use the Services ends. We delete stored Ad Platform access tokens immediately. On request made within 30 days after termination, we make your Customer Data available for export. After that, we delete it as described in the Privacy Policy, unless the law requires us to keep it.
  • Sections that by their nature should survive termination survive it. These include sections 6 to 7 and 9 to 19.

17. Governing law and jurisdiction

These Terms and any dispute arising out of or relating to them are governed by the laws of India, without regard to conflict-of-law rules. Subject to any dispute-resolution clause in a Signed Agreement, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction, and each party submits to their jurisdiction. Nothing in this section prevents either party from seeking urgent injunctive relief in any competent court.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date. If a change is material, we will give at least 30 days' notice by email or in the Platform before it takes effect, unless the change is required by law or by an Ad Platform, in which case it may take effect sooner. If you continue to use the Services after the change takes effect, you accept the updated Terms. Changes do not alter a Signed Agreement unless both parties agree in writing.

19. General

  • Entire agreement. These Terms, together with the Privacy Policy, any Order Form and any Signed Agreement, are the entire agreement between the parties about their subject matter.
  • Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the rest of these Terms remain in effect.
  • No waiver. A failure or delay in enforcing a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, subject to section 4.4 of our Privacy Policy for data received from Google APIs.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, government action, internet or utility failures, or Ad Platform outages. Payment obligations are not excused.
  • Publicity. We will not use your name or logo publicly, for example on our website or in marketing materials, without your prior written consent.
  • Independent parties. The parties are independent contractors. Your authorisation in section 5.1 is limited to the actions described there and does not create any other agency, partnership or employment relationship.
  • Notices. We may send notices to the email address on your account. You may send notices to info@tasquer.ai or to our registered office.
  • Electronic record. These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature.
